These Terms of Service ("Terms") govern your access and use of UGC AdMaker (the "Service"), operated by Brandscalez Digital Enterprise ("Company", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.

1. Description of the Service

UGC AdMaker is a B2B SaaS platform providing AI-assisted video production tools for marketing and e-commerce purposes. The Service enables businesses to create promotional video content using pre-licensed digital avatars and voice synthesis for legitimate commercial advertising.

UGC AdMaker does not publicly host or publish user content. We act purely as a video/content generation tool, similar to an editor. Users receive the generated media and may use it anywhere they choose.

2. Eligibility

You must be:

  • at least 18 years old,
  • legally able to enter contracts,
  • not prohibited from receiving services under applicable laws.

3. Account Registration

  • You must provide accurate registration information and keep your account secure.
  • You are responsible for all activity under your account.

4. User-Uploaded Content & Rights

You may upload images, voice samples, and other media ("User Content") for generating AI content.

By uploading User Content, you represent and warrant that:

  • You own it OR you have proper permission/consent to use it.
  • Uploading it does not violate any law or rights (privacy, likeness, IP, etc.).
  • You grant us a limited license to process your data solely for providing the Service.

We do not require you to prove or submit documentation of ownership — but you remain fully responsible for legal compliance.

5. AI-Generated Content Ownership

All AI-generated output (videos, avatars, voice outputs, scripts) created through your account is fully owned by you, subject to these Terms. You may use it commercially, worldwide, without restriction.

Exceptions:

  • Certain AI voice clones are stored in ElevenLabs under our platform account and technically hosted by them.
  • Deletion of voice clones is controlled through our systems; users may request deletion at any time.

UGC AdMaker does not claim ownership over your generated media.

6. Prohibited Conduct

You agree NOT to:

  • upload content you do not have rights/permission for,
  • impersonate real people without consent,
  • use the Service for illegal, hateful, or harmful content,
  • violate any third-party intellectual property or privacy rights,
  • use AI avatars/voices in deceptive or fraudulent ways.

7. Storage & Retention

  • We store generated media and uploads as long as your account is active.
  • When you delete your account, all uploads, generated media, and AI assets are permanently deleted.
  • You may manually delete content at any time.

8. Subscription and Billing

All transactions are processed by our secure payment processor.

Our payment partner is responsible for billing, tax collection, and customer support related to payments.

Your subscription includes:

  • payment processing
  • taxes (VAT/GST)
  • invoicing
  • subscription renewals

Your plan includes a specific number of video generations or features, shown at checkout. More details are in our Refund Policy.

9. Refunds

Because AI processing incurs significant non-recoverable computing costs, refunds are limited. However, we offer refunds for technical failures and first-time purchases under specific conditions.

10. Third-Party Services

We rely on third-party AI technology providers such as:

  • Google AI Services (AI avatar generation)
  • ElevenLabs (voice cloning)
  • OpenAI / other LLM providers
  • Hosting & storage vendors

You agree to their terms, which may apply to specific AI features.

11. Disclaimers

The Service is provided "as is" and "as available."

We do not guarantee:

  • any particular output quality,
  • uninterrupted service,
  • accuracy of AI-generated content.

AI output may vary.

12. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for damages arising from User Content, impersonation, misuse, or generated media.
  • Our total liability will not exceed the amount you paid us in the past 3 months.

13. Indemnification

You agree to indemnify and hold harmless the Company from claims related to:

  • misuse of AI content,
  • non-consensual likeness or voice use,
  • IP violations,
  • legal disputes involving content you upload or publish elsewhere.

14. Termination

We may suspend or terminate accounts for:

  • violation of these Terms,
  • harmful or fraudulent activity,
  • legal obligations.

You may delete your account at any time.

15. Governing Law

These Terms are governed by the laws of India, without regard to conflict of laws.

Global users agree that disputes may be handled through binding arbitration or courts in India.
